| 摘 要： | 要约收购的信息预警披露制度是要约收购制度的一个重要组成部分,各国立法对此都有规制,但是其制度安排并非一致.本文从这项制度应采取的立法取向入手,探讨信息预警披露的义务主体确定、信息披露的期限、披露义务人行为规则及披露内容等问题.
