| 摘 要： | 商法典的出现与其说是“逻辑”的产物,还不如说是“政策”的产物。我国现阶段《民法通则》统辖单行法的法律模式并不完善,不能很好地为我国的社会主义市场经济建设服务,因此,还是“民商分立”更有利。
