我国独立董事制度若干问题的法律思考

CD-10在疾病编码工作中,对ICD-10第一卷整个分类体安排,从理论上讲,独立董事可以在一定程度上制约控股股东,维护中小股东利益,然而在实际运作过程中我国的独立董事制度未能发挥应有的监督作用。我国应完善独立董事的任免机制、权利运行机制、激励和约束机制,以利于独立董事行使监督职权。

On Some Aspects of Improvement of Independent Director System

China's independent director system is an important system for the management structure of the listed companies. In theory, independent directors can put a limit on the controlling shareholder to a certain extent and safeguard the interests of small shareholders. But China's independent director system failed to play a supervisory role in the course of practice. This paper attempts to make a discussion on the appointment and removal mechanism, right mechanism and incentive and restraint mechanism of independent directors on the purpose of promoting the development of China's independent director system.
