| 摘 要： | 股权变动制度既不同于传统动产物权变动制度,又不同于传统的不动产物权变动制度。由于我国公司法在有限公司股权变动登记制度方面存在法律制度的缺失,导致经济活动中的股权变动常常存在潜在的法律风险,一个良好的股权变动登记制度不仅要维护股权变动的安全,同时必须兼顾股权变动的效率,而不同制度学说的确立对交易的安全与效率以及当事人的利益均有较大影响。

| Abstract: | Stock transfer is a special type of real property transfer and is different from traditional property right and real property transfer. Owing to the shortcomings of stock transfer and registration system in Chinese Company Law, there are potential legal risks in stock transfer in economic life. An effective system of stock transfer and registration not only protects the safety of transaction, but also enhances the efficiency of transfer. Various theories have great impacts on the safety and efficiency of transaction and the interests of the concerned parties. |
