| 摘 要： | 产业投资基金有效运行有赖于合理治理结构，形成有效约束和激励治理机制。公司型产业投资基金、契约型产业投资基金、有限合伙型产业投资基金三种基金形式体现了不同的法律关系，因而在治理结构和治理机制各有其特点。比较其各自特点，对于选择适当基金形式，推动我国产业投资基金发展具有重要的意义。

| Abstract: | The effective running of industrial investment funds depends on a reasonable governance structure and an effective restriction-and-encouragement mechanism. As industrial investment funds of the company, the contract and the limited corporation can reflect different legal relations, these three funds＂ governance structure and governance mechanism have their own characteristics respectively. It is very useful and meaningful to make a comparative study on each funds＂ characteristics, so that we can choose a reasonable funds form, as well as promote the development of our national industrial investment funds. |
