| 摘 要： | 公司特别清算是指公司在进行普通清算的过程中出现障碍，或者公司负债有超过资产的嫌疑，在法院直接干预和债权人参与下进行的清算。构建我国公司特别清算制度应合理界定特别清算程序的适用对象和开始原因，采用以法院为主导的立法模式，加强对债权人利益的保护。

| Abstract: | Special Liquidation of Companies remarkable obstacle or ＂debt exceed＇ take place during the company ordinary liquidation, the court can appoint a liquidator, under the guidance of court to liquidate the company by force, according to the request of creditor. In order to construct our legal system on the special liquidation of companies＂ liquidation applicable object and beginning cause of the special liquidation procedures should be defined, court-oriented legislative mode should be set up and the creditor＇s interests should be protected. |
