我国有限合伙立法路径探究

在现代经济生活中,有限合伙作为风险投资机构的最佳组织形式,其独特价值日益凸现,无论是英美法系还是大陆法系国家对其都有成文立法规定。然而,目前在我国尚无专门法律的引导、规制和保障。为此,遵循民商立法理论,借鉴国外立法经验,结合我国现实状况,确立有限合伙立法思路,探索有限合伙立法途径,从而构建有限合伙立法路径,创制利于创业投资的良好法制环境,健全和完善我国民商事主体法律制度,有力促进社会主义市场经济健康发展。

In modern economic life,Limited partnership,as the best organization form of venture capital organization,its unique value appears day by day.Now both the common law system and the civil law system countries all have their statutes.However,there is not a special law in our country to guide,rule,regulate and safeguard the form at present.Therefore,we should explore and establish the way to make law about limited partnership by following the theory about legislation of civil and commercial law,profiting from the overseas legislation experience and unifying our country realistic condition.Thus we can construct the legislation way of limited partnership,make good legal system environment which is benefit for starting an undertaking and investment,perfect our national main body law system about civil and commercial law,promote to develop our socialist market economy energetically.
