With the development of world economy, the recognition and regulation of foreign corporations is the problem, which nearly every jurisdiction has to handle with. There are two camps on this issue: real seat theory, and the place of incorporation theory. The response to "the Delaware syndrome" and "pseudo-foreign" corporations are important, and the comparative analysis of these issues is meaningful for China.
