| Abstract: | A stock-transfer system for corporations limited by liabilities is generally provided in China’s existing Corporations Act. Unfortunately, some defects exist in the substantial requirements for the transfer, the subject matter of the regulation or the requirements of the procedures of the transfer. So it is necessary for us to reconstruct this system. |
