作为动产担保方式之一的让与担保

我国现行法中虽然没有关于让与担保的规定，但这一制度的价值是学界所公认的，并为发达国家和地区所普遍采用。动产抵押无法取代动产让与担保的作用，因为两者的理论基础和法律功能各不相同，动产抵押的理论基础是大陆法系的物权原理，让与担保的理论基础是英关法系的信托制度；让与担保权并不以担保债权的存在为前提，与担保债权也没有主从关系，让与担保权的实现也较动产抵押权简便。动产抵押和让与担保的并存，可以为当事人多提供一种选择。

The chattel mortgage can＇ t replace the pledge of chattel with guarantee of function,because both of the theories foundation and the law function don＇t same alike be each, the theories foundation of the chattel mortgage is the property principle of civil law, the pledge of chattel is the trust system of common law. The pledge of chattel is not with the guarantee credit right of existence for premise, with the guarantee credit right also have no lord from the relation, the realization of the chattel in pledge is also simple. Comparing with the chattel mortgage,the pledge of chattel can provide one more choice if the law concerned.
