公司法中的弹性条款——法伦理与解释方法的应用

弹性条款是与法官自由裁量权密切相关的，规定了框架性构成要件或者价值元素，需要进行价值填充，可以进行扩大或者限缩解释的法律规范。设置“弹性条款”，无疑可增加公司法弹性适用的空间。但对于新公司法中诸多弹性条款的规定，法官如何进行自由裁量，司法干预的程度和限度又将如何取舍，又是学界应当直面的问题。
