一人公司及其法律规制刍议

一人公司承担有限责任,在大多数国家已得到承认.我国也有国有独资公司、外商独资公司等一人公司的立法实践,但较为粗疏.现实地面对一人公司的存在,从观念上抛弃公司具有复数成员的社团性的认识,承认公司为财团法人;从立法上对一人公司进行规范,以更好地保护债权人的利益及社会公共利益.

Humble Opinion of One-person Company and its Regulation of Law

One-person company undertaking limited liability has been accepted by many countries recently. Our country has some legislation practice of one-person company such as rational corporation sole, foreign businessman corporation sole but it is kind of inattentive. Facing the existence of it, we should regard it as corporate body to standard it from the point of legal view, and protect the creditor's interests and public advantage.
