《商事通则》的立法体系与基本原则

制定<商事通则>要考虑立法资源的节约与立法技术上的可行性.<商事通则>应致力于协调民商法的关系,确立商事一般规则,要规范商主体的一般规定、商人名称与营业转让、商业雇员、商事登记、商事账簿、商人团体、商事代理.<商事通则>中不宜规定不具有一般性的内容,如商事责任、商事行为、商事短期诉讼时效等.要反对以社会责任观念限制商主体的营利性,营利性原则是<商事通则>的基本原则,而保护交易安全、保障交易效率和商主体法定是营利性原则派生的规则.

On the Legislative Framework and Basic Principles of the General Principles of Commercial Law

Constituting general principles of commercial law should consider the conservation of legislative resources and technical feasibility.General principles of commercial law should concern with the coordination of between civil law and commercial law and the establishment of general commercial rules.It is necessary to regulate the general provisions to the commercial person,the names of merchant,business transfer,business employees,commercial registration,commercial books,businessmen groups,and commercial affairs agent in general principles.The commercial rules which have not general content should not be provided in the general principles,such as commercial liability,commercial act,commercial short-term limitation period,etc.It should oppose to constraint the profit-generating characteristics of subject of commercial law with the concept of social responsibility.The principles of profit is the basic principle of general principles of commercial law,and the protection of the safety of transactions and protection of efficiency of the transaction and the regulation that commercial subject must be regulated by law is derivative rules of the principles of profit.
