国有企业职工董事、职工监事制度存在的问题和建议

近年来，职工董事、职工监事制度伴随着国有企业的改革得到了不断的探索。国务院国有资产监督管理委员会制定的职工董事管理办法和职工董事履行职责管理办法。为国有企业完善职工董事、职工监事制度奠定了基础。但是，理论界对职工董事、职工监事制度的认识还存在着一些不同意见；实践中也还有一些职工董事、职工监事发挥作用不够的问题。本文根据调查中发现的问题提出了一些独到的建议。

The Problems in the Board of Directors and Worker-supervised System of the Public-ownership Enterprise

Currently, with the development of the reform of the enterprise, directors and worker- supervised system have been promoted. The supervising committee of the State Council creates the administrative criterion and the standard of performance of duty which are the significant foundation for perfecting the board of directors and the worker-supervised system. However, in the academia, there is still different point. In process of carrying out many directors and supervisors do not try their best. The article will provide some adviees accord- ing to the investigation.
