| 摘 要： | 公司的法人性仅是公司外在的特征,股东是公司的所有者权益的承担者,公司为股东投资的工具则是公司最为基础的本质。股东作为公司的所有者在公司自治中居于核心地位,现代公司自治实质上即为股东的自治。公司及公司制度的产生与发展均是以股东为核心力量进行的,公司制度功能的发挥关键在于股东自治的实现。在我国,股东自治的实现要通过公司立法的完善、政府角色的转变和法院能力的提升等多渠道建构。
