| 摘 要： | 国有资产授权经营不同于国有资产的经营权或法人所有权。现行国有资产授权经营制度中的核心关系应当是信托法律关系。针对现行制度中的诸多不足,提出改革建议:完善受托人选任制度;建立受托人财产隔离制度和受托人破产隔离制度;确认公司和企业对其经营的国有资产的所有权,促使国家对国有资产的经营由实物控制转向价值形态控制;强化国有资产授权经营过程中的法律责任,特别是完善民事责任体系。

| Abstract: | The authorized operation of state - owned property is different from management right of state -owned property or corporate ownership.The core of current authorized operation of state - owned property relation is a kind of trust.This article pointed out those defects in this arrangement and proposed several suggestions such as the perfection of selection mechanics of trustees,establishment of seclusion systems of trustee's property and bankruptcy,strengthening of legal liability in this process,especially the perfection of civil liability system,etc. |
