企业法律形态的分化设计

在我国 ,企业法律形态包括独资企业、合伙企业、公司 ,但是目前这些法律形态的设计存在企业主体的独立性不高、具体形态缺乏等缺陷。本文首先从企业独立的内涵出发分析企业形态设计的多种可能以及选择上的价值考量因素 ,接着分析了在我国企业法律形态完善过程中的面临的法人观念和制度上的障碍问题 ,最后分析企业法律形态设计的具体缺陷 ,并且提出了完善企业法律形态设计的一些建议。

Analysis on the Diversification of Legal forms of Enterprises

The enterprise legal forms include sole proprietorship, partnership and company in China. As for the design, there are still some shortcomings, for example, the low independence of the enterprise as a subject and the deficiency of specific legal forms. First, after defining the term of enterprise independence the manifold choices of designing the enterprise legal forms and values that should be considered while making a choice are to be analyzed. Second, The paper emphasizes the impediments of the notion and institution of legal person that will be confronted when perfecting our enterprise legal forms. Finally, the specific defects of designing the enterprise legal forms are dealt with and some suggestions are given to perfect the enterprise legal system in our nation.
