跨国合作：全球化视阈下食品安全治理的新构想

食品安全是关系到整个人类生存与发展的严峻问题,已成为各国政府和人民共同关注的焦点。经济全球化使得食品安全成为全球性问题,各合作治理主体加强合作,采取协调行动,实施跨国合作治理是解决该世界难题的有效之策。     

再论独立董事制度在中国的适用

独立董事制度在中国的适用目前仍然充满争议。本文从我国上市公司特殊的股权结构入手,充分论证了独立董事制度是解决我国上市公司治理中存在的根拳问题应选择的改革路径。参照国外的经验和模式,对独立董事制度的定义、功能以及任免机制等均作了阐述和分析．并对现有独立董事制度的改进提出了改进建议,以期对符合中国国情的独立量事法律制度的完善有所裨益。     

控权、合作与服务：公共善治论

随着公共行政的发展和公共治理的兴起,迫切需要新的理论来指导我国的行政法学研究和服务行政法治建设。秩序行政和服务行政是行政法的两大领域,行政法的基础理论必须对这两大领域都能发挥指导功能。公共善治论由于在对行政权与公民权关系的认知基础上,强调法治下的有效控权理念、强调博弈合作上的利益平衡理念、强调为民服务理念,更符合行政法的功能与目的。     

Introduction: exploring and explaining the Asia-Pacific Partnership on Clean Development and Climate

This introduction lays the groundwork for this Special Issue by providing an overview of the Asia-Pacific Partnership on Clean Development and Climate (APP), and by introducing three main analytical themes. The first theme concerns the emergence and continuation of the APP. The contributions show that the emergence of the APP can be attributed to international factors, including the United States’ rejection of the Kyoto Protocol, and its search for an alternative arena for global climate governance, and other countries’ wish to maintain good relations with the US; as well as domestic factors, such as the presence of bureaucratic actors in favour of the Partnership, alignment with domestic priorities, and the potential for reaping economic benefits through participation. The second theme examines the nature of the Partnership, concluding that it falls on the very soft side of the hard–soft law continuum and that while being branded as a public–private partnership, governments remain in charge. Under the third theme, the influence which the APP exerts on the post-2012 United Nations (UN) climate change negotiations is scrutinised. The contributions show that at the very least, the APP is exerting some cognitive influence on the UN discussions through its promotion of a sectoral approach. The introduction concludes with outlining areas for future research.

The contingent governance theory based on state-contingent ownership has exerted an important impact on economic academia, and its application in the field of company law is also of significant value. The lack of internal restraint mechanism and public supervision of limited liability companies makes it feasible to implement contingent governance. Under the mechanism of contingent governance, creditors of a limited liability company may intervene in its governance. The right of intervention is mainly reflected in three aspects, i.e., (1) mandatory debt-for-equity swap, (2) obligation of the actual controller to creditors when the limited liability company is on the edge of insolvency, and (3) creditor’s right of objection with respect to the decision of corporate substantial business. Ding Guangyu, Ph.D in civil and commercial law, works in the Chinese Institute of Applied Jurisprudence of the Supreme Court of China. 机构投资者投票顾问的法律规制——美国与欧盟的探索及借鉴

投票顾问是20世纪80年代以来资本市场兴起的新型咨询服务机构,其向机构投资者提供所持股公司股东大会投票建议、治理状况评级等服务以营利,部分投票顾问还同时向上市公司提供公司治理咨询服务。投票顾问的影响力随着机构投资者的壮大及相应监管的完善与日俱增,但来自上市公司管理层等利益相关方的批评也从未停止,近10年来更引起立法者与监管者的关注和介入。美国与欧盟的探索实践表明,以适度信息披露和利益冲突防控为导向的公共监管相较于私人执法而言是规制此类机构的更优路径,表现可衡量性弱、诉讼效果不彰影响了民事诉讼的应用,相关经验亦可为我国所借鉴。     

Challenges to inmate classification in a developing country setting: implications for context-based inmate classification schemes

Inmate classification is a key aspect of prison management and inmate programming. It guides inmate housing assignment, level of supervision and control, and inmate programme placement. The Philippines formally incorporated these principles to modernise its prisons. However, structural, organisational, and cultural challenges posed barriers to successful implementation. Utilising qualitative data gathered through interviews and focus group discussions with prison personnel, inmates, and volunteers in a major prison in the Philippines, this paper investigates the practices that impact on inmate classification and how these affect housing assignment, levels of supervision and control, and inmate programming. Implications towards developing an integrated correctional management in the Philippines, and other similarly situated countries, are discussed.
