| 摘 要： | 不当关联交易在我国上市公司中普遍存在,近年还有发展的趋势。这些关联交易所引发的一系列问题严重损害了广大中小股东以及债权人的利益,也违背了证券市场的三公原则。规范不当关联交易,刻不容缓。

| Abstract: | The improper associated transactions are commonly existed in our country's listed companies and have an increasing tendency these years. The series of problems arose by these improper associated transactions do great harm to the benefit of middle and small stockholders and also violate the principle of justice, impartial and openness. So it demands immediate attention to regulate improper associated transactions. |
