表见代理是我国合同法关于代理制度的一项新规定，是对我国民法通则的代理制度的补充和完善，该制度的宗旨在于保护交易的安全和第三人的利益。在现实生活中，因代理制度产生的纠纷大量存在，正确区分有权代理和无权代理与表见代理的关系尤为重要。本文重点阐述其构成要件和法律后果，为司法实践提供理论研究。     

表见代理客观要件和主观要件评析

表见代理是指行为人虽无代理权 ,但善意相对人客观上有充分理由相信行为人具有代理权而与其为民事行为 ,该行为的后果直接由被代理人承担。表见代理的客观要件应是 :须有被代理人的授权行为 ,且这种授权行为能够使相对人相信代理人有代理权。其主观要件应是 :相对人善意无过失 ,并且被代理人具有过失。表见代理制度的价值要考虑被代理人、代理人和相对人三方当事人的利益 ,不能为了交易安全和善意相对人的利益而蔑视甚至践踏其他当事人的利益。     

析司法实践中对表见代理的认定

表见代理制度的确立,反映了我国市场经济体制运行过程中对交易安全保护的重视,但在司法实践中表见代理的认定存在很大的争议。只有在司法实践中完善表见代理的认定依据,才能真正维护交易安全、保护善意第三人的合法利益,保障社会主义市场经济健康发展。     

浅析我国表见代理制度

表见代理是保护信赖利益、维护交易安全的重要制度,在市场经济中具有重要的制度价值。但是,我国学界对实践中存在重大认识分歧的表见代理问题缺乏足够的重视,现行立法关于表见代理的规定也较为简略。在正确理解其内涵和法律功能的基础上,探讨表见代理的构成要件及法律效果有着重要意义。     

论表见代理的性质和法律效果

对于表见代理性质上属于无权代理还是有权代理,以及表见代理的法律效果,学术上一直有分歧。本文通过对代理权性质的分析,通过比较法的分析,通过对我国法律上有关表见代理的规则的实证分析,认为表见代理性质上属于有权代理,表见代理行为直接在被代理人和相对人之间生效,相对人不得主张无权代理的法律效果。     

表见代理在司法审判中的困惑及其完善——从《合同法》第49条谈起

我国<合同法>第49条规定了表见代理制度.这种制度在保护交易安全,维持社会经济秩序,促进社会主义市场经济发展方面起到了重要作用.同时,由于它本身的瑕疵所在,致使在司法审判中出现了对被代理人正当利益保护不力,法条本身难以把握和操作及表见代理制度滥用等许多困惑.针对这些困惑,必须采取措施,对法条制度进行完善.     

论表见代理的构成要件

我国表见代理制度在理论上存在诸多争论和分歧,在立法上存在着缺陷和不足,而在实践中"表见代理责任已经使许多企业陷入债务泥潭"。本文拟就表见代理的构成要件进行分析探讨。

论我国统一合同法中表见代理的构成要件

本文从表见代理制度的价值入手 ,分析出表见代理的构成要件的缺陷 ,认定其价值追求有失公平之合同法基本原则 ,从而主张把本人 (被代理人 )的过失亦作为其构成要件 ,以平衡本人与第三人 (相对人 )的利益。可是 ,借于统一合同法已颁布实施 ,对此缺陷只能且必须用限制性司法解释给予弥补
