浅议合同相对性原则的突破——以《合同法》第64条和第65条为讨论对象

承认合同相对性原则的突破具有重要意义。《合同法》第64条和第65条并不能被解释为关于涉他契约的规定。应在《合同法》第3章"合同的效力"中添加利他契约和负担契约条款,并对第64条和第65条作出相应的司法解释。     

关于合同法民商合一的立法体例法律适用问题

九九年十月一日实施的《中华人民共和国合同法》简称《合同法》；结束了我国在这之前三个合同法即《经济合同法》、《涉外经济合同法》和《技术合同法》并存，调整生产、经营领域的商事合同关系；《民法通则》调整民事合同关系。合同法不统一的格局。制定统一《合同法》，实行民商事合同统一由一部法律调整，顺应市场经济的要求，体现了实现交易规则的统一化(国际化)和《合同法》的现代化、科学化的立法本旨。     

论新《合同法》的合同自由原则

浅谈《合同法》对诚实信用原则的规定

随着市场经济的发展,合同纠纷越来越多。一些诚实信用观念较差的企业和个人,常常假借合同进行欺诈,损害合同当事人的正当权益。在合同履行过程中,违背诚实信用原则的行为也比比皆是。为此,九届全国人大二次会议通过的《中华人民共和国合同法》在总则中把当事人在行使权利、履行义务时应当遵循的诚实信用原则明确地规定了下来。《合同法》第六条规定,当事人行使权利、履行义务应当遵循诚实信用原则。它确立了诚实信用原则在《合同法》中基本原则的地位。在此,笔者拟就诚实信用原则在合同的订立、履行过程中的具体运用作些探讨。——关于合同的订立。《合同法》第四十二条规定,当事人在订立合同过程中有下列情形之一,给对方造成损失的,应当承担损害赔     

关于《合同法》违约责任归责原则对手段债务的适用性

本文通过对医疗服务合同的两个案例的分析,以及通过与《国际商事合同通则（PICC）》和《欧洲合同法原则（PECL）》的比较,讨论《合同法》违约责任归责原则在＂手段债务＂的适用上存在的问题,并建议可在《合同法》第107条的基础上,对＂手段债务＂为内容的合同作出特别规定,即＂手段债务＂的场合应该以过错责任为归责原则。

浅论格式条款与消费者权益保护
